Acceptable Use Policy

1. Prohibited Uses

You must not use, nor permit others to use, Adiona Materials in any way that:

1. Violates applicable law — including but not limited to advertising, export,privacy, data protection, road transport, heavy vehicle, or chain ofresponsibility laws in any applicable jurisdiction.

2. Infringes third-party rights — including intellectual property, privacy, publicity, or other proprietary rights of Adiona or any third party.

3. Is abusive, deceptive, or harmful — including content or conduct that is defamatory, offensive, obscene, fraudulent, or likely to cause harm to any person.

4. Enables unauthorised access or use — including (except as expressly permitted by applicable law or contract): data mining, copying, storing, transmitting, assigning, reselling, sublicensing, distributing, displaying, publishing, benchmarking, scanning, monitoring, mirroring, framing, embedding, scraping, linking, modifying, translating, combining, creating derivative works, disassembling, decompiling, or reverse engineering.

5. Circumvents contractual or technical controls — including any monitoring, reporting, authentication, rate-limiting, or access control mechanisms.

6. Compromises security, including:

   1. circumventing, breaching, probing, or compromising any security measures, including introducing viruses, worms, spyware, or other malware;

   2. gaining unauthorised access to any information, services, or systems, including phishing, pharming, or spoofing;

   3. disrupting the integrity, availability, or operation of any information, services, or systems, including denial-of-service or distributed denial-of-service attacks;

   4. probing or stress-testing the Adiona API through excessive automated calls beyond normal operational use; or

   5. attempting to reverse-engineer Adiona’s pricing models, algorithms, or data models through systematic API queries.

7. Involves safety-critical reliance without independent verification — You must not use routing or optimisation outputs as the sole basis for operational decisions without appropriate human review and validation. Adiona’s outputs are recommendations only and are not certified for applications where failure could directly cause loss of life, physical injury, or significant harm to property.

8. Violates road transport or heavy vehicle law — You must ensure that your use of routing outputs complies with all applicable road transport, heavy vehicle, chain of responsibility, driver fatigue, load limit, curfew, and delivery compliance laws in your jurisdiction. Adiona’s outputs do not guarantee compliance with any such requirements.

9. Removes or obscures proprietary notices — including any copyright, trademark, or other proprietary rights notices on Adiona Materials.

2. Data Input Requirements

When submitting data to Adiona Materials, you must:

Limit personal data — only submit personal information (including delivery recipient names, addresses, or contact details) that is strictly necessary for the routing or optimisation function being performed. You are responsible for applying data minimisation principles consistent with applicable privacy and data protection laws.

11. Have a lawful basis — ensure you have a valid legal basis under applicable privacy and data protection laws (including the Australian Privacy Act 1988 and, where applicable, the EU General Data Protection Regulation) for any personal data submitted to the Services.

12. Ensure data accuracy — not submit data that is knowingly false, fabricated, or intended to manipulate routing outputs or circumvent usage-based billing.

13. Have authority over submitted data — not submit data belonging to third parties without authorisation, and ensure that any data submitted does not infringe third-party intellectual property or confidentiality rights.

14. Not submit restricted data — not submit sensitive personal information (including health, financial, or government identification data) unless expressly agreed in writing with Adiona.

3. Nature of Adiona's Outputs

You acknowledge that:

10. routing outputs are recommendations only and do not constitute a guarantee of compliance with delivery window obligations, regulatory requirements, or contractual commitments to third parties;

11. distance, time, and cost estimates are generated algorithmically and may differ from actual operational outcomes;

12. Adiona is not responsible for operational decisions made on the basis of its outputs without independent human verification; and

13. you remain solely responsible for the safety, legality, and compliance of all logistics operations conducted using or informed by Adiona’s outputs.

4. Enforcement

Adiona reserves the right, but does not assume the obligation, to investigate any suspected violation of this AUP and may, acting reasonably:

10. remove content and/or suspend, disable, or terminate access to Adiona Materials;

11. report suspected violations to law enforcement, regulatory authorities, or affected third parties; and

12. seek reimbursement of losses and costs resulting from violations, including reasonable legal fees.

5. Reporting Violations

If you become aware of or suspect any violation of this AUP, you must promptly notify Adiona and comply with any reasonable requests to investigate and remedy the violation.

6. Governing Law

This Acceptable Use Policy is governed by the laws of New South Wales, Australia. Any disputes arising in connection with this policy are subject to the non-exclusive jurisdiction of the courts of New South Wales.
